Wellness Compass Team is a collaborative business through which two independent sole traders work together to provide workplace health and wellbeing services.
The services offered through Wellness Compass Team are provided by:

In these Terms & Conditions, “we”, “us” and “our” refer to the individuals providing services through Wellness Compass Team, as identified in the relevant quotation, booking confirmation or invoice.
“You”, “your” and “client” refer to the organisation booking or purchasing our services.
We provide workplace health and wellbeing talks, workshops, lunch and learn sessions and related corporate wellbeing education.
The content, format, duration, location, delivery method, number of sessions and fees will be agreed with you as part of the booking process.
Services may be delivered in person or online, as agreed at the time of booking.
An enquiry does not constitute a confirmed booking.
A booking becomes confirmed when the relevant details have been agreed with you and written confirmation of the booking has been provided.
The confirmation may include the date and time, location or online delivery arrangements, agreed content, fees and any other requirements relating to the service.
You are responsible for checking the booking details and notifying us promptly if anything is incorrect.
By confirming a booking with us, you agree to these Terms & Conditions unless alternative terms have been expressly agreed in writing.
The quotation, booking confirmation or invoice will identify the sole trader or traders responsible for providing and invoicing for the particular engagement.
Our fees will be agreed with you before your booking is confirmed.
An invoice will be issued following booking confirmation in accordance with the arrangements agreed for the engagement.
Payment is due within 14 days of the invoice date, unless otherwise agreed in writing.
All invoices must be paid in pounds sterling using the payment details shown on the invoice.
Any applicable taxes will be dealt with by the individual sole trader issuing the relevant invoice.
If an invoice is not paid by the agreed due date, the sole trader to whom the outstanding amount is owed reserves the right to exercise any rights available under applicable law in relation to late commercial payments, including claiming applicable interest and recovery costs where entitled to do so.
We may also suspend or decline to provide further services where an invoice remains overdue.
We understand that business circumstances can change. If you need to cancel or postpone a confirmed booking, please contact us as soon as possible.
Unless different cancellation terms have been agreed in writing for your booking, the following cancellation terms apply:
More than 30 days before the agreed delivery date: no cancellation charge.
15 to 30 days before the agreed delivery date: 50% of the agreed fee may be payable.
14 days or fewer before the agreed delivery date: 100% of the agreed fee may be payable

Where reasonable non-refundable expenses have already been incurred specifically for your booking, including agreed travel or accommodation costs, these may also remain payable.
We will make reasonable efforts to accommodate a request to move a booking to another date. Any alternative date will be subject to availability and agreement.
If circumstances mean that the person due to deliver a talk or workshop cannot do so, we will notify you as soon as reasonably practicable.
Where appropriate, we may offer the other Wellness Compass Team collaborator to deliver the session, provided they have the appropriate knowledge and experience to deliver the agreed content.
Alternatively, we may offer another date or other reasonable solution.
If we cancel a service and cannot provide an appropriate alternative, you will not be required to pay for the cancelled service. Where payment has already been made for that service, the relevant amount will be refunded.
We are happy to discuss reasonable changes to the content or format of a talk or workshop.
Significant changes requested after a booking has been confirmed may result in an additional fee, particularly where additional preparation, research, materials or delivery time is required.
Any additional charge will be discussed and agreed with you before the additional work is undertaken.
You are responsible for providing us with the information reasonably required to deliver the agreed service.
For in-person events, you are responsible for providing a suitable, safe and accessible venue and any facilities or equipment agreed as being your responsibility.
For online events, you are responsible for ensuring that participants have appropriate access to the relevant online platform unless we have expressly agreed otherwise.
You are responsible for communicating relevant joining instructions and information to your employees, attendees or participants.
Our talks, workshops, presentations and resources provide general health, nutrition and wellbeing education and information.
They are not intended to provide individual medical advice, diagnosis or treatment and should not be treated as a substitute for advice from an appropriately qualified healthcare professional.
Participants should seek appropriate professional medical advice regarding individual symptoms, health concerns, medical conditions, medication or treatment.
Participants remain responsible for decisions concerning their individual health and wellbeing.
Nothing in our services is intended to establish a doctor-patient relationship or replace individual medical care.
We welcome appropriate questions and participation during our workplace sessions.
However, corporate talks and workshops are educational sessions and are not individual health consultations.
We may therefore decline to answer questions that would require an individual assessment, diagnosis or personalised advice.
Where appropriate, a participant may be advised to discuss an individual health concern with their GP or another suitably qualified healthcare professional.
We will treat confidential business information provided in connection with an engagement appropriately and will not intentionally disclose it to third parties except where necessary to provide our services, you have authorised us to do so, or disclosure is required by law.
Participants should not be required to disclose personal health information during a workplace group session.
Personal information provided to us will be handled in accordance with our Privacy Policy and applicable UK data protection law.
Unless otherwise agreed in writing, intellectual property rights in presentations, slides, handouts, worksheets, exercises, resources, written materials and other original content remain with the individual who owns or created those materials, or the relevant rights holder.
Materials supplied to participants may be used for their own personal or authorised internal educational use.
Our materials must not be copied, reproduced, adapted, sold, published, uploaded, distributed externally, used to provide training to others or otherwise commercially exploited without the prior written permission of the relevant rights holder.
Our talks, workshops and presentations must not be audio recorded, video recorded, livestreamed or otherwise recorded in full without our prior written agreement.
Where recording has been agreed, the permitted purpose, audience and use of that recording must also be agreed in advance.
You may use our agreed speaker information, biographies, photographs and promotional materials supplied specifically for promoting the booked event within your organisation.
The Wellness Compass Team name, branding, photographs, biographies or other materials must not be used to imply an endorsement, partnership or continuing commercial relationship beyond the agreed engagement without our prior permission.

We take reasonable care when preparing website content but do not guarantee that all information will remain complete, current or suitable for every individual or organisation.
Health and wellbeing information on our website should not be used as a substitute for individual medical advice.
Our website or materials may contain links to third-party websites or resources.
These links are provided for information or convenience. We are not responsible for the content, availability, privacy practices or services of third-party websites.
We will provide our services with reasonable care and skill.
We will not be responsible for loss resulting from a participant treating general health, nutrition or wellbeing education as a substitute for individual medical or other appropriately qualified professional advice.
Neither sole trader will be responsible for the acts or omissions of the other except to the extent that responsibility arises under an agreement with the client or cannot lawfully be excluded.
Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
We will not be responsible for a failure or delay in providing a service where this results from circumstances genuinely outside our reasonable control.
These may include severe weather, significant transport disruption, serious illness, public health emergencies, venue closure or failure of essential technology or communications services.
Where this affects a booking, we will make reasonable efforts to agree an appropriate alternative arrangement with you.
We process personal information in accordance with applicable UK data protection legislation.

We may update these Terms & Conditions from time to time.
The version applicable to a particular booking will normally be the version in force when the booking is confirmed, unless otherwise agreed in writing.
These Terms & Conditions and any dispute or claim arising from them or the services provided are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction in relation to disputes or claims arising from these Terms & Conditions or the services provided.
